The Company

Herbert L. Satter founded the Consumers Dry Cleaning and Laundry in Boston, Massachusetts in 1952 and served as the ombudsman for the Massachusetts Dry Cleaners Association. CDC&L became a registered corporation (ID No: 042206004) on February 11, 1955. And on August 25, 1960, the company changed its name to Consumer Testing Laboratories, Inc. From 1982 to 1985, CTL financed its operation, in part, with loans secured by the Bankers Leasing Association of Northbrook, Illinois, as well as Vanguard Financial Service and the First National Bank of Winnetka, two other Illinois institutions.

In 1985, Satter retired, turning the family-owned business over to his son, Stewart A. Satter, who had received his undergraduate degree from the University of Massachusetts and his MBA from The Stern School at New York University.

On March 16, 1998, CTL engaged in an unknown partnership with Chemic Laboratories of Canton, Massachusetts, which was financed, at least in part, by Linc Quantum Analytics, Inc. of 363 Vintage Park Drive in Foster City, California 94401. Both CTL and Chemic listed their address in the UCC filing as 480 Neponset Street in Canton, Massachusetts 02021—which continues to be Chemic’s address.

In December 2003, CTL—which also used the address 24 School Street; Boston, Massachusetts 02104—merged with its Florida namesake, which was located at 430 S. Congress Avenue (Suite 1B), Delray Beach, Florida 33445. According to CTL’s 2004 annual report, Stewart Satter, Herbert’s son—of 4 Green Lane; Sherborn, Massachusetts 01770—was the company’s president, treasurer, secretary, and lone director.

The Articles of Merger of Trust and Corporation executed during this transaction stated that the Consumer Testing Laboratories Trust owned “ninety percent (90%) of the outstanding shares of each class of the corporation.”

In its March 15, 2007, annual report to the Florida Secretary of State’s Office, CTL stated that it had moved its headquarters to 477 South Rosemary Avenue (Suite 316), West Palm Beach, Florida 33401. (Prior to this, it was located at 2240 Woolbright Road (Suite 412), Boynton Beach, Florida 33425.)

The company’s registered agent is Robert Preston, who listed his office at the same address as CTL’s headquarters. Preston became the company’s CFO sometime between the 2006 and 2007. He replaced Mark N. Gulko, who worked at the Boynton Beach address, but no longer appears as an officer of the company.

According to 2007 annual report in Florida, the president of the company is Yefim Buzik. The CEO is still young Satter. Timothy Fitzsimmons is vice president. All three are located at the West Palm Beach address.

Another vice president is Scott Sargent, whose office is located at 1702-14 SW Commerce Drive in Bentonville, Arkansas 72712; (479) 464-2900. He appears to be the top executive at that location. In Arkansas, CTL is listed as a foreign corporation with its headquarters in Florida.

Another vice president in 2006, Robert Mansfield—who worked at the Bentonville address—appeared, like Gulko, to have lost his job. Both had been listed as officers in all of the Florida reports since 2003. (Two other former officers who appeared in the 2002 annual report but disappeared after that were Hemant Patel and Vasant Jinwala.)

In addition, the company filed 2007 annual reports in Florida for its offices in Bangladesh and India.)
